- This deal is actually structurally different from a classic PIPE arb and that matters:
- Effectively MMCAP neutralized their share price risk and kept 19 million 3-year call options at $26.25 for free.
- TLDR: the arb here isn't about a discount, it's about getting the warrants for nothing by hedging the share leg.
- At current prices (\~$15), those warrants are deeply out of the money, but MMCAP has 3 years for POET to recover.
- They're essentially long a massive call position at zero cost, while retail holders absorbed the dilution and the short pressure on the way down from $21 to $15.

- I am agreeing with you to a certain degree, however this is short term bearish but longterm bullish because their max profit depends on the stock rising above their warrant of $26.25.
- The arbitrage you are referring to is to some degree correct, however what this did was give them a risk free option.
- MMCAP is essentially a 3-year patient capital bet with no downside on the warrant leg.
- If POET consolidates around $12-15, MMCAP lets the warrants expire worthless and just evaluates their share position.
- They would not make this bet if they were not bullish as this will be an opportunity risk if this does not rise above their price.
